When you create an account with us, you agree to:

4. Payment Terms

4.1 Pricing

4.2 Payment Schedule

Payment terms are specified in individual service agreements. Standard terms include:

• 50% deposit before project commencement
• Milestone-based payments as agreed
• Final payment upon project completion

4.3 Late Payments

Late payments may incur interest at 2% per month. We reserve the right to suspend services for accounts with overdue payments.

4.4 Refunds

Refund policies are specified in individual service agreements. Generally, deposits are non-refundable unless otherwise agreed in writing.

All content, trademarks, and intellectual property on our website and in our products remain the property of Byoosi.com or our licensors.

5.2 Custom Development

For custom development projects:

• Client owns custom code developed specifically for them upon full payment
• We retain rights to reusable components and frameworks
• Open source components remain under their original licenses

5.3 License

We grant you a non-exclusive, non-transferable license to use our services as intended. You may not resell, redistribute, or create derivative works without our written consent.

6. Limitations of Liability

6.1 Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

6.2 Limitation

To the maximum extent permitted by law, Byoosi.com shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid for the specific service

6.3 Third-Party Services

We are not responsible for third-party services, including ERPNext, hosting providers, or integrated systems. Their use is subject to their respective terms and conditions.

7. Termination

Either party may terminate services:

• By mutual written agreement
• For material breach with 30 days written notice
• Immediately for non-payment exceeding 60 days

Upon termination:

• Client shall pay for all services rendered
• We will provide reasonable assistance for transition
• Confidentiality obligations survive termination

8. Governing Law

These Terms are governed by the laws of the Republic of Uganda. Any disputes shall be resolved through:

• Good faith negotiation
• Mediation in Kampala, Uganda
• If necessary, courts of competent jurisdiction in Uganda
